Terms of Service

Last updated: 2026-02-20

Agreement scope

These Terms govern your use of this website and related communications with Compute ("we", "us", "our"). Professional services are governed by separate written agreements, including statements of work ("SOW"), master service agreements ("MSA"), and order forms.

Order of precedence

If there is a conflict between these website Terms and a signed MSA, SOW, or order form, the signed agreement controls for the applicable services.

Services and deliverables

Scope, deliverables, timelines, acceptance criteria, and service levels are defined in applicable project documents. Client responsibilities, dependencies, and approvals may affect delivery schedules.

Fees and payment

Fees, payment terms, expenses, and taxes are defined in your agreement or invoice. Unless otherwise stated in writing, invoices are due according to the terms shown on the invoice, and overdue amounts may be subject to reasonable collection efforts and permitted fees.

Intellectual property

Each party retains ownership of its pre-existing intellectual property. Ownership or licensing of project-specific deliverables, work product, and third-party materials is governed by the applicable MSA/SOW.

Confidentiality

Both parties agree to protect confidential information disclosed during an engagement and to use it only for authorized business purposes, subject to contractual and legal obligations.

Acceptable use of the site

You agree not to misuse, disrupt, reverse engineer, or attempt unauthorized access to the website, systems, or services connected to this site.

Third-party services

Our services may involve third-party platforms, software, or cloud providers. Their products and services are governed by their own terms, policies, and service commitments.

Warranty disclaimer

Except as expressly stated in a signed agreement, this website and related content are provided "as is" and "as available," without warranties of any kind, whether express or implied.

Limitation of liability

To the maximum extent permitted by law and except where prohibited, Compute is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, or business opportunity.

Indemnity

You agree to indemnify and hold Compute harmless from claims arising from your misuse of this website, violation of these Terms, or infringement of third-party rights.

Termination

Either party may terminate discussions or website use at any time. Termination rights and obligations for paid services are governed by the applicable agreement.

Governing law

These Terms are governed by applicable U.S. law and the governing law and venue identified in your signed services agreement, where applicable.

Changes to these Terms

We may update these Terms from time to time. Continued use of the site after updates means you accept the revised Terms.
