Agreement scope

Order of precedence
If there is a conflict between these website Terms and a signed MSA, SOW, or order form, the signed agreement controls for the applicable services.

Scope, deliverables, timelines, acceptance criteria, and service levels are defined in applicable project documents. Client responsibilities, dependencies, and approvals may affect delivery schedules.
Fees and payment
Fees, payment terms, expenses, and taxes are defined in your agreement or invoice. Unless otherwise stated in writing, invoices are due according to the terms shown on the invoice, and overdue amounts may be subject to reasonable collection efforts and permitted fees.
Intellectual property
Each party retains ownership of its pre-existing intellectual property. Ownership or licensing of project-specific deliverables, work product, and third-party materials is governed by the applicable MSA/SOW.
Confidentiality
Both parties agree to protect confidential information disclosed during an engagement and to use it only for authorized business purposes, subject to contractual and legal obligations.
Acceptable use of the site

These Terms are governed by applicable U.S. law and the governing law and venue identified in your signed services agreement, where applicable.
